Terms of Service

These Terms of Service ("Terms") govern your use of Taxio, a UK payroll and business management software service provided by Techseria Ltd. By accessing or using the Service, you agree to be bound by these Terms.

1. Definitions

  • "Customer", "You": The organisation agreeing to these Terms.
  • "Service": The Taxio payroll platform.
  • "Employee Data": Personal data you input for payroll.
  • "Subscription": Paid access under your plan.

2. The Service

Taxio is a cloud-based payroll platform including calculations, HMRC RTI submissions, reports, and self-service portals. We aim for 99.9% uptime and maintain HMRC recognition status.

3. Account Registration

You must be a UK-based business or operate UK payroll. You are responsible for maintaining account security and for all activity under your account.

4. Subscriptions and Payment

  • Fees: Fees are charged in advance (monthly/annual) excluding VAT.
  • Overages: Exceeding employee limits may result in automatic plan upgrades.
  • Price Changes: We may change prices with 30 days' notice.

5. Your Responsibilities

  • Accuracy: You are responsible for the accuracy of data input and verifying calculations.
  • Compliance: You are the Data Controller and must comply with UK employment laws. Taxio is a tool, not a substitute for professional advice.
  • Security: You must use strong passwords and restrict access.

6. Intellectual Property

We own the Service. You own your data. We grant you a limited licence to use the Service during your subscription.

7. Data Protection

Our collection and use of data is governed by our Privacy Policy. For employee data, we act as a Data Processor under our Data Processing Agreement (DPA).

8. HMRC Integration

You authorise us to submit to HMRC on your behalf. You are responsible for the content of submissions. We are not liable for HMRC system downtime or errors caused by incorrect data.

9. Warranty & Disclaimer

THE SERVICE IS PROVIDED "AS IS". WE DISCLAIM IMPLIED WARRANTIES. WE DO NOT GUARANTEE CALCULATIONS WILL ALWAYS BE CORRECT IN EVERY CIRCUMSTANCE.

10. Limitation of Liability

Our liability is limited to fees paid in the 12 months preceding a claim. We are not liable for indirect damages or HMRC penalties.

11. Termination

  • You may cancel at any time; access continues until the end of the billing period.
  • 30-Day Money-Back Guarantee: Available for new customers within the first 30 days.
  • Upon termination, you have 30 days to export your data.

12. General

These Terms are governed by the laws of England and Wales. Any disputes are subject to the exclusive jurisdiction of English courts.
